Service Agreement & Legal Terms

Welcome to Innovatrix Automate. These Terms and Conditions ("Terms") govern your use of our automation services, website, and related offerings. By accessing or using our services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing our website, engaging our services, or creating an account with Innovatrix Automate, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services.

These Terms constitute a legally binding agreement between you ("Client," "User," or "you") and Innovatrix Automate ("Company," "we," "us," or "our").

2. Service Description

2.1 Automation Services

Innovatrix Automate provides custom business automation solutions using platforms including but not limited to n8n, Make.com, and Zapier. Our services include:

• Workflow design and implementation
• System integrations and data synchronization
• Custom automation development
• Consultation and strategy services
• Maintenance and support services
• Training and documentation

2.2 Service Limitations

Our services are subject to the capabilities and limitations of third-party platforms. We do not guarantee compatibility with all systems or unlimited customization possibilities. Service availability depends on third-party platform uptime and functionality.

3. User Responsibilities

As a user of our services, you agree to:

• Provide accurate and complete information required for service delivery
• Maintain the confidentiality of your account credentials
• Use our services only for lawful business purposes
• Comply with all applicable laws and regulations
• Respect intellectual property rights of third parties
• Provide timely feedback and approvals during project phases
• Maintain backup systems for critical business data

4. Payment Terms

4.1 Pricing and Fees

Service fees are determined based on project scope, complexity, and duration. All prices are quoted in Indian Rupees (INR) unless otherwise specified. Custom quotes will be provided for each project based on specific requirements.

4.2 Payment Schedule

Payment terms are typically structured as follows:

• 50% advance payment upon project commencement
• 50% upon project completion and delivery
• Monthly invoicing for ongoing maintenance services
• Additional charges for scope changes or extra services

4.3 Late Payments

Overdue payments may result in service suspension and interest charges of 2% per month on outstanding amounts. We reserve the right to suspend services for accounts with payments overdue by more than 30 days.

5. Intellectual Property Rights

5.1 Ownership of Work Product

Upon full payment, you will own the custom automation workflows and configurations created specifically for your business. However, we retain ownership of our proprietary methodologies, templates, and general knowledge gained during service delivery.

5.2 Third-Party Platforms

All third-party platforms (n8n, Make.com, Zapier, etc.) retain their respective intellectual property rights. Our services are subject to the terms and conditions of these platforms.

6. Confidentiality

We understand the sensitive nature of business data and commit to maintaining strict confidentiality. We will:

• Keep all client information confidential and secure
• Use client data only for authorized service delivery
• Implement appropriate security measures to protect data
• Not disclose client information to unauthorized third parties
• Return or destroy client data upon request after service completion

7. Service Level Agreement

7.1 Project Delivery

We strive to deliver projects within agreed timelines. However, delivery schedules depend on client feedback, approvals, and third-party platform availability. Delays caused by client-side factors will not be considered service failures.

7.2 Support Services

For ongoing support services, we provide:

• Response to critical issues within 24 hours
• Response to non-critical issues within 48 hours
• Monthly maintenance and optimization reviews
• Regular backup and security assessments

8. Limitations of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount paid by you for the specific service
• We are not liable for indirect, consequential, or punitive damages
• We are not responsible for third-party platform failures or limitations
• We are not liable for data loss due to client system failures
• Force majeure events excuse performance delays or failures

9. Termination

9.1 Termination by Client

You may terminate services with 30 days written notice. Fees for completed work and any third-party costs incurred are non-refundable. Early termination may result in additional charges for work in progress.

9.2 Termination by Company

We may terminate services immediately for breach of terms, non-payment, or illegal use of services. We may also terminate with 30 days notice for business reasons.

10. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through:

• Good faith negotiations between parties
• Mediation if negotiations fail
• Arbitration under Indian Arbitration and Conciliation Act, 2015
• Courts in Kolkata, West Bengal, India for legal proceedings

11. Governing Law

These Terms are governed by the laws of India. Any legal action must be brought in the courts of Kolkata, West Bengal, India.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified Terms. We will notify clients of significant changes via email.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Invalid provisions will be replaced with valid provisions that achieve similar objectives.
